Definitions

  • “Client”, “you” — the person or organisation engaging our services.
  • “Services” — the security services we agree to provide, which may include void property inspections, keyholding, alarm response, and CCTV monitoring.
  • “Property” — any premises we are engaged to inspect or attend.
  • “Report” — any inspection report, alert, or notification we provide.

The Services

  1. 11.1.We will provide the Services described in our quotation or as otherwise agreed in writing.
  2. 11.2.We will carry out the Services with reasonable care and skill, in line with SIA standards and good industry practice.
  3. 11.3.Our role is to inspect, monitor, and report on the condition and security of the Property. We provide a deterrent, inspection, and reporting service — we do not guarantee that no break-in, damage, or other incident will occur.

Quotations and Fees

  1. 12.1.Quotations are valid for 30 days unless stated otherwise.
  2. 12.2.Fees are as set out in our quotation or agreed schedule.
  3. 12.3.Unless agreed otherwise, fees are exclusive of VAT, which will be added where chargeable.

Payment

  1. 13.1.We will invoice you as agreed.
  2. 13.2.Payment is due within 30 days of the invoice date.
  3. 13.3.We reserve the right to charge interest on overdue accounts under the Late Payment of Commercial Debts (Interest) Act 1998.
  4. 13.4.We may suspend the Services where payment is overdue.

Your Responsibilities

  1. 14.1.Provide accurate and complete information needed for us to carry out the Services.
  2. 14.2.Confirm that you own the Property or are otherwise authorised to grant us access.
  3. 14.3.Provide safe and lawful access to the Property, including any keys, alarm codes, or lockbox combinations.
  4. 14.4.Inform us of any known hazards, risks, or special conditions at the Property.
  5. 14.5.Keep your contact details up to date so we can deliver reports and alerts.

Access, Keys, and Codes

  1. 15.1.Where you provide keys, alarm codes, or access details, we will store and handle them securely.
  2. 15.2.We are not responsible for any inability to carry out the Services where access details are incorrect or out of date, or where access is otherwise prevented.

Reports and Alerts

  1. 16.1.We will provide Reports in the format and at the frequency agreed.
  2. 16.2.Where we identify a breach, hazard, or other urgent issue, we will alert you as soon as reasonably practicable using the contact details you have provided.
  3. 16.3.It is your responsibility to act on any alert or recommendation we provide.

Liability

  1. 17.1.Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for anything that cannot lawfully be excluded.
  2. 17.2.Subject to clause 17.1, our total liability arising under or in connection with the Services shall not exceed the total fees paid by you in the 12 months before the claim.
  3. 17.3.We are not liable for loss or damage caused by events outside our reasonable control; break-ins, vandalism, theft, or damage occurring at the Property except to the extent directly caused by our negligence; any indirect or consequential loss; or loss arising from inaccurate or incomplete information provided by you.
  4. 17.4.Our Services are not a substitute for property or contents insurance. We strongly recommend you maintain appropriate insurance for your Property.

Insurance

We hold public liability insurance. Details are available on request.

Confidentiality and Data Protection

  1. 19.1.We will keep information about you and your Property confidential, except where disclosure is required by law or is necessary to provide the Services.
  2. 19.2.We handle personal data in accordance with our Privacy Policy and applicable data protection law.

Cancellation and Termination

  1. 20.1.Either party may end the agreement by giving 30 days’ written notice.
  2. 20.2.We may suspend or end the Services immediately if you breach these terms, fail to pay, or if continuing would put our staff at risk.
  3. 20.3.On termination, you remain liable for any Services provided up to the termination date.

Force Majeure

We are not liable for any failure or delay in providing the Services caused by events outside our reasonable control, including extreme weather, fire, flood, civil unrest, or failure of utilities or networks.

General

  1. 23.1.These terms form the entire agreement between us and supersede any prior arrangements.
  2. 23.2.If any part of these terms is found to be unenforceable, the rest will remain in force.
  3. 23.3.No failure or delay by us in enforcing these terms will waive our rights.

Governing Law

These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
